October 28, 2021

Reply S.p.A. has acquired 100% of the share capital in Comwrap GmbH, a European leader in professional services for cloud native digital platforms based on Adobe Experience Cloud and Ibexa DXP. With deep expertise in digital experience, Comwrap’s c. 85 employees will become part of Reply’s network of technology platform.

PCB started the mandate in March and completed the transaction in October. Commenting on the transaction, Riccardo Lodigiani, Head of M&A Reply said:

“Our partnership with PCB continues with them finding us high quality off-market, under-the-radar assets in the Technology Consulting and Digital Services ecosystems. Delivering to the brief quickly and sensitively, the differentiated PCB approach and deep industry experience was the key factor in closing out the deal, and we look forward to continuing this important partnership to help Reply’s inorganic expansion in the year ahead.”

PCB Partners provides Management Advisory to Proxima Group through its corporate recapitalisation.

September 2021

Proxima Group completed a corporate recapitalisation where PCB Partners provided Management Advisory services. Commenting on the process, Gareth Evans, CEO of Proxima said:

“We decided to look at all the exit options for shareholders to provide liquidity and also support the business in its future growth ambitions. We appointed Tim Farazmand and his team at PCB Partners as Management Advisors to the team because they understood the sector and had deep experience of the private equity community.  They provided valuable insights into private equity and helped the management team evaluate all options.”

About Proxima

Founded in 1994, Proxima provides procurement advisory services and procurement transformation solutions to a client list ranging from some of the world’s largest businesses to fast-growing, high-potential small and medium-sized enterprises across a wide range of supply categories, and in sectors from aviation to government, from manufacturing to banking.

PCB Partners, the mid-market TMT and Business Services M&A advisor, is pleased to announce that it has advised CoreStream on its sale to Marlowe PLC.

Founded in 2006 and headquartered in London, CoreStream’s SaaS platform supports large organisations with corporate compliance and risk management needs. CoreStream is a leader in the UK’s attractive GRC software market which is experiencing significant growth driven by clients demands for improved governance and risk management to address their increasing exposure to new and expanding regulation.

The acquisition of CoreStream broadens Marlowe’s digital and environmental, social and governance (ESG) service offerings and further deepens its relationships with leading blue-chip organisations.

Matthew and Richard Eddolls, Founding Directors of CoreStream commented:

“It has been hugely impressive watching the PCB team work on our transaction. They spent the necessary time to analyse our business and properly understand its dynamics, helping us form a credible narrative that the market responded well to.

Throughout the contractual and legal negotiations, the attention to detail and effort has been spot on and we have ended up with an exceptional, yet balanced, deal for both parties.

Above all, it has been a pleasure to work with PCB. When many of our sessions were taking place at the end of a long day, it was important that we liked the people we were working with. We think PCB struck the balance between pushing for the right deal while being fair and not creating unnecessary conflict.

We’ve achieved our aims of realising significant value up-front whilst having the opportunity to participate in additional upside through a well-crafted earn-out structure that ensures all parties are incentivised to drive growth in the business going forward.”

Mark Casement of PCB added:

“It was a pleasure to support the CoreStream shareholders on this transaction. The team have created a fantastic business in the rapidly growing governance, risk and compliance technology space. The business maintains a highly strategic position in the GRC market servicing an enviable blue chip client base. CoreStream is a great fit into Marlowe’s strategy and I’m sure the business will continue its strong growth trajectory under their ownership.”
